Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) set out the basis upon which Eutyx Limited, a company incorporated in Hong Kong with its registered office at Unit 1603, 16th Floor, The L. Plaza, 367 - 375 Queen's Road Central, Sheung Wan, Hong Kong (“Eutyx”, “we”, “us”, “our”), provides business management and consultancy services to its clients (“Client”, “you”).

By engaging Eutyx’s services, the Client acknowledges that they have read, understood, and agreed to be bound by these Terms.

2. Scope of Services

Eutyx provides professional consultancy and business management services, supporting clients across multiple areas of their operations. Our expertise covers business expansion, including assistance with corporate account opening and ongoing maintenance, as well as strategic consulting to drive growth and facilitate entry into new markets. We also deliver operational advisory services such as budgeting, optimisation, business valuation, and advisory on international payments and currency management. In addition, we provide legal and compliance advisory, assisting clients with the development of AML policies, contract drafting and review, addressing related regulatory matters, and implementing new KYC procedures. Beyond these core areas, Eutyx also offers guidance on international corporate bank account setup, global bank selection, preparation and review of compliance documentation, and other tailored business consultancy solutions.

Eutyx acts exclusively in an advisory and facilitative capacity. We do not provide banking, financial, legal, accounting, investment, or fiduciary services, nor do we act as a licensed financial institution under Hong Kong law or any other jurisdiction.

3. No Guarantee of Outcome

The Client acknowledges and agrees that:

  • The decision to accept or reject any application for banking or financial services rests solely with the relevant financial institution or authority;
     

  • Eutyx does not and cannot guarantee the success, approval, or outcome of any application, transaction, or business process; and
     

Any guidance provided is advisory in nature and does not constitute legal, financial, or tax advice.

4. Client Obligations

The Client shall:

​

  • Provide complete, accurate, and timely information and documentation as requested;
     

  • Ensure full compliance with all applicable laws and regulations, including but not limited to Hong Kong’s Anti-Money Laundering and Counter-Terrorist Financing Ordinance (Cap. 615);
     

  • Promptly notify Eutyx of any changes in circumstances that may affect the services;
     

  • Not use Eutyx’s services for unlawful, fraudulent, or improper purposes.
     

Eutyx reserves the right, at its sole discretion, to decline or suspend services where there is reasonable suspicion of non-compliance, illegality, or breach of these Terms.

5. Compliance and Due Diligence

Eutyx may conduct due diligence checks on Clients and request documentation in line with Hong Kong law and applicable international compliance standards. Eutyx may decline or cease to provide services if the Client fails to provide required information, or where continuing the engagement would, in Eutyx’s reasonable opinion, result in a breach of applicable laws or regulations.

6. Fees and Payments

  • Fees for services shall be confirmed in writing prior to commencement.
     

  • Unless otherwise agreed, all fees are payable post factum, based on issued invoices and signed acceptance certificates.
     

  • Fees are non-refundable once services have commenced, save as required by Hong Kong law.
     

Eutyx shall not be liable for any costs incurred by the Client in relation to third-party services (e.g. banks, payment processors, compliance specialists).

7. Confidentiality

Eutyx shall maintain the confidentiality of Client information and shall not disclose such information to third parties except:

​

  • Where disclosure is required by applicable law, regulation, or court order;
     

  • Where disclosure is reasonably necessary for the proper performance of services (e.g. provision to financial institutions); or
     

  • With the Client’s prior written consent.
     

  • Eutyx shall take reasonable measures to protect confidential information against unauthorized access, disclosure, or misuse.

8. Limitation of Liability

To the maximum extent permitted under Hong Kong law:

​

  • Eutyx shall not be liable for any indirect, incidental, special, punitive, or consequential loss, including but not limited to loss of profit, opportunity, or goodwill;
     

  • Eutyx’s total aggregate liability for direct losses arising from any claim under these Terms shall not exceed the total fees paid by the Client for the specific services giving rise to the claim;
     

Eutyx shall not be liable for any decisions, delays, or actions taken by third-party banks, regulators, or authorities.

9. Third-Party Services

Where Eutyx refers or introduces Clients to third-party service providers, such introductions are made in good faith. Eutyx does not endorse, control, or accept responsibility for such third parties. The Client engages third-party services at their own risk and subject to the terms and conditions of such providers.

10. Termination

Either party may terminate the engagement by written notice. Termination shall not affect accrued rights or obligations. Fees paid in respect of services already provided shall remain non-refundable.

Eutyx reserves the right to terminate services immediately where the Client is in breach of these Terms, or where continuation would result in a breach of law or regulatory requirements.

11. Force Majeure

Eutyx shall not be held liable for any delay, failure, or inability to perform its obligations under these Terms arising directly or indirectly from events beyond its reasonable control, including but not limited to:

​

  • Natural disasters, pandemics, or public health emergencies;
     

  • War, terrorism, civil unrest, or government actions;
     

  • Regulatory changes or restrictions;
     

  • Strikes, lockouts, or labor disputes;
     

  • Failures of telecommunications, internet, or utility services.
     

Where a Force Majeure event occurs, Eutyx shall notify the Client as soon as reasonably practicable. The performance of obligations shall be suspended for the duration of the Force Majeure event, without liability to either party.

12. Governing Law and Jurisdiction

These Terms shall be governed by, and construed in accordance with, the laws of the Hong Kong Special Administrative Region. The parties irrevocably submit to the exclusive jurisdiction of the courts of Hong Kong for the resolution of any disputes arising under these Terms.

13. Amendments

Eutyx reserves the right to amend these Terms at any time. Updated Terms shall be provided to the Client in writing and shall become effective upon communication, unless otherwise specified.
